These Terms of Service govern the use of the organization’s services and digital properties. By engaging with the company or accessing its offerings, clients and visitors accept these terms in full. If a party does not agree to any portion of these terms, they should refrain from using the services.
Acceptance of Terms
Engagements may be subject to additional written agreements specifying scope, fees, and deliverables. Where a separate agreement conflicts with these Terms of Service, the separate written agreement will govern to the extent of the conflict. Acceptance may be explicit through signed contracts or implied through the use of services after an offer has been presented.
Service Usage
Services are provided in accordance with the timelines and specifications established in individual proposals or statements of work. The company retains the right to refuse service or to suspend access where usage interferes with operations, violates law, or breaches contractual obligations. Clients agree to provide necessary cooperation and timely feedback to facilitate delivery. Any third-party tools or platforms used in the provision of services will be governed by their respective terms.
Intellectual Property
Unless otherwise specified in a written agreement, the company retains ownership of methodologies, templates, and underlying tools used to deliver services. Deliverables produced specifically for a client will be transferred or licensed as agreed upon in the applicable contract. Clients are granted the rights expressly detailed in their agreement and should not assume broader ownership of pre-existing proprietary assets.
Limitation of Liability
To the fullest extent permitted by law, the organization’s liability for direct damages arising from services is limited to the fees actually paid for the specific engagement that gave rise to the claim. The company is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
Termination
Either party may terminate an engagement in accordance with the terms set forth in the applicable agreement. On termination, outstanding fees for work performed up to the termination date become immediately payable. The company may retain copies of work product and materials for record-keeping purposes and to protect its intellectual property rights. Specific liabilities surviving termination, such as payment obligations and confidentiality, will continue as specified in the governing agreement.
Changes to Terms
The organization reserves the right to modify these Terms of Service. When changes are material, reasonable notice will be provided through the appropriate digital channels or contractual communications. Continued use of services after notice of changes constitutes acceptance of the revised terms. It is the responsibility of clients and users to review terms periodically and to raise any concerns through available communication channels.
